Constitution and By-Laws of the Alameda Golf Club

Article I - Name

1. The name shall be the Alameda Golf Club, herein referred to as the Club.

Article II - Objects

1. To work for the preservation and betterment of the Alameda Municipal Golf Courses.

2. To cooperate with the municipal authorities of the City of Alameda in the development and improvement of the Municipal Golf Courses and to secure such discipline and courtesy in connection therewith as will best harmonize individuals with public interest.

4. To furnish to promising players, through their membership in the Club, the opportunity to participate in tournaments held by golf associations and other organizers.

Article III - Membership

1. The membership of the Club shall consist of ACTIVE MEMBERS: Members entitled to all privileges of Club membership. Active membership shall consist of four hundred (400) members, limited to individuals twenty-one (21) years of age or older, and in good amateur standing. No application will be accepted prior to the applicant's eigtheenth (18th) birthday. In the event that an application reaches the top of the waiting list before the applicant is twenty-one (21), the application shall remain at the top of the list until the applicant's twenty-first (21st) birthday and an opening occurs in the Club.

HONORARY LIFE MEMBERS: Members elected from time to time by a committee composed of three (3) past presidents appointed annually by the President. No more than two (2) candidates shall be elected in any one (1) year. Only those individuals who have rendered unusual or meritorious service to golf, the Club, or the Alameda Municipal Golf Courses shall be considered for inclusion in this membership category.

ASSOCIATE MEMBERS: Members elected annually to such membership by a two-thirds majority vote of the Board of Directors. They shall be entitled to all the privileges of active membership, except the right to vote or hold office in the Club.

SENIOR MEMBERS: Members who have reached their sixty-second (62) birthday and have been a member of the Club for at least twenty (20) years. Senior Membership shall be conferred upon the member in the calendar year immediately following the qualification as to age and membership.

Article IV - Officers

The officers of the Club shall consist of a President, a Vice-President, a Secretary, a Treasurer, and a Team Captain. ALL OFFICERS SHALL BE ELECTED AT THE NOVEMBER MEETING OF THE CLUB AND THEIR TERM SHALL RUN FROM JANUARY 1 THROUGH DECEMBER 31 OF THE SUCCEEDING YEAR.

The offices of Secretary and Treasurer may be filled by one member or two, as the Club may elect.

2. All officers except the Secretary/Treasurer shall serve the Club gratis and shall in no way receive compensation for their services from Club funds. The Secretary/Treasurer expense for the following year shall be set by the Board of Directors at their January meeting and not exceed one percent (1%) per month of the Club total year membership dues but not less than forty dollars ($40.00) per month. The Secretary/Treasurer shall be entitled to draw a check each month for the services rendered.

Article V - Board of Directors

1. The Club shall be governed by a twelve (12) member Board of Directors, who shall hold office from JANUARY 1 THROUGH DECEMBER 31 OF THE SUCCEEDING YEAR. ONE ALTERNATIVE SHALL ALSO BE ELECTED AT THE SAME TIME TO SERVE A ONE (1) YEAR TERM FROM JANUARY 1 THROUGH DECEMBER 31 OF THE SUCCEEDING YEAR. THIS PERSON SHALL HAVE ALL THE RESPONSIBILITIES AND PRIVILEGES OF A REGULAR BOARD MEMBER WITH THE EXCEPTION THAT SAID PERSON SHALL NOT VOTE ON ANY PENDING MATTER UNLESS SAID VOTE IS NEEDED TO FULFILL A QUORUM REQUIREMENT. IN THE EVENT THAT A REGULAR BOARD MEMBER IS UNABLE TO COMPLETE THE TERM OF OFFICE FOR THAT YEAR, THE ALTERNATE SHALL BE AUTOMATICALLY APPOINTED TO THE BOARD TO FULFILL THE REMAINDER OF THAT PERSON'S TERM. At the November election of the Board of Directors a maximum of one-half but not less than one-fourth of the incumbent Board shall be elected to the new Board. In the event that votes of the Board shall be equally divided upon any question, the President shall cast the deciding vote.

2. Meetings of the Board of Directors shall be held on Thursday of each month, twelve (12) days prior to the Club regular meeting, unless changed by the President. The President will decide if meetings will be held during the summer months of June, July, and August. A meeting of the Board of Directors shall be called by the President upon the request of five (5) Directors. Due written notice of all Directors' meetings shall be given by the Secretary to all Directors, Officers, and the Editor of the Tee Time Tales at least three (3) days prior to the meeting. No business shall be transacted unless seven (7) Directors are present If a member of the Board of Directors fails to attend three (3) consecutive Board Meetings that office shall automatically be declared vacant and a successor shall be elected by the Board of Directors, or, if a vacancy should occur for any reason, and the alternate Director has been appointed by the Board, the Board of Directors may fill this vacancy pursuant to the recommendation of the nomination committee.

Article VI - Duties of Officers and Directors

1. The President of the Club shall preside at all meetings of the Club and of the Board of Directors, and shall perform such other duties as usually required of an executive officer of a social organization.

2. The Vice-President of the Club shall perform the duties of the President during the absence or disability of the President, as well as the duties as Chairperson of the Entertainment Committee.

3.The Secretary of the Clulb shall keep a record of all meetings of the Club and the Board of Directors, and shall keep a record of all names and addresses of members of the Club. The Secretary shall be charged with the duty of notifying all members of special meetings and the members of the Board of Directors of meetings to be held by them. The Secretary shall keep a record of correspondence with the Club and perform such other duties as usually are required of the Secretary of a social organization.

4. The Treasurer of the Club shall have charge of all funds of the Club. Such funds shall be kept in a depository duly authorized by the Board of Directors. The Treasurer shall be authorized to disburse funds of the Club upon approval of the Board of Directors. In the absence or disability of the Treasurer, the President shall have the power an an alternate to sign checks in disbursement of Club funds. The Treasurer shall render a statement of receipts and disbursements at each regular meeting of the Club. The Treasurer shall execute to the Club a bond with a surety company as surety thereon, properly conditioned for the faithful performance of the duties as Treasurer.The Club shall pay the premium of this bond, the amount of which shall be determined by the Board of Directors.

5. The Team Captain of the Club shall be Chairperson of the Handicap, Tournament, and Rules Committees, and shall arrange and take charge of all Club tournaments.

6. The Board of Directors of the Club shall have general supervision over all the affairs of the Club. They shall make rules and regulations for the governing of the Club subject to ratification by the members. They shall act in an advisory capacity with the officers and committees, and approve payment of bills and applications of members.

Article VII - Annual Meeting

1. The annual meeting of the Club shall be held in the month of November of each year on the last Tuesday, unless otherwise agreed upon, primarily for the election of Club Officers for the following year. After due notification of nomination, those members attending the annual meeting shall be empowered to elect new officers. THE LIST OF NOMINATED OFFICERS AND DIRECTORS SHALL BE PUBLISHED IN THE OCTOBER TEE TIME TALES TO BE VOTED ON AT THE ANNUAL MEETING.

Article VIII - Regular Meeting

1. A regular meeting of the Club shall be held on the last Tuesday in each month except the December meeting which shall be scheduled by the Vice-President subject to the approval of the President and the Board of Directors. After due notification of official business, those members attending the regular meeting shall be empowered to conduct the Club business.

Article IX - Special Meetings

1. A special meeting of the Club may be called AT ANY TIME AT THE DIRECTION OF the President and shall always be called upon the written request of twenty-five (25) active members. Due written notice of special meetings shall be given by the Secretary to each active member in good standing. The notice shall state the object of the meeting and no business shall be transacted at the meeting except that mentioned in the call. Fifty (50) members in good standing are necessary to transact official business.

Article X - Application for Membership

1. All applicants for membership shall obtain an application from a voting member of the Club who will be required to act as the applicant's sponsor. Following completion of the application by the sponsor, the application shall be submitted to a Membership Committee. The Committee may require both the sponsor and the applicant to appear before them prior to final recommendation. Following a favorable recommendation of the Membership Committee, the application shal be referred to the Board of Directors for action, and a favorable vote of a majority of all Directors shall be necessary for approval.

Article X1 - Suspension and Expulsion

1. The Board of Directors may suspend or expel any member at any time by a vote of not less than a majority of all the Directors, for any violation of the by-laws, or for any INAPPROPRIATE conduct which may be prejucicial to the best interests of the Club provided that the offending member shall be given notice and an opportunity to be heard personally before the Board.

Article XII - Committees

1. TOURNAMENT COMMITTEE: All members shall be appointed by the Team Captain.

2. ENTERTAINMENT COMMITTEE. All members shall be appointed by the Vice-President.

3. HANDICAP COMMITTEE. All members shall be appointed by the Team Captain.

4. PUBLICITY and TEE TIME TALES COMMITTEE. The Chairperson shall be appointed by the President and all members shall be appointed by the Chairperson.

5. BUDGET COMMITTEE. The Chairperson shall be the Secretary. The Team Captain and the Vice-President shall serve as members of this committee. Other members shall be appointed by the Chairperson.

7. AUDITING COMMITTEE. The Chairperson and members shall be appointed by the President.

8. MEMBERSHIP COMMITTEE. The Chairperson shall be a Director appointed by the President and TWO (2) ADDITIONAL MEMBERS shall be appointed by the Chairperson from the Board of Directors.

9. HONORARY LIFE MEMBERSHIP COMMITTEE. The committee shall consist of three (3) past Presidents appointed by the President.

10. NOMINATING COMMITTEE. The Chairperson and members shall be appointed by the President and shall consist of three (3) active past-Presidents, one member-at-large, one member of the Board of Directors, and a first and second alternate to be appointed from the Board of Directors. Fixe (5) members must be present to constitute a legal meeting.

All appointed committee Chairpersons and committee members shall be approved by the President and subject to ratification by the Board of Directors.

Article XIII - Fees and Dues (Dues and Transfers)

1. Applicants for membership in the Club shall pay a twenty-five dollar ($25.00) initiation fee together with the regular dues for the SUCCEEDING CALENDAR year at the time of notification by the Secretary of acceptance as a new member.

2.The Active Members' annual dues of forty-four dollars ($44.00) shall be payable on or before the thirty-first (31) day of August of each year FOR THE SUCCEEDING CALENDAR YEAR. HONORARY LIFE MEMBERS SHALL HAVE ALL THE PRIVILEGES OF ACTIVE MEMBERSHIP AND SHALL NOT BE REQUIRED TO PAY INITIATION FEES OR DUES. ASSOCIATE MEMBERS SHALL NOT BE REQUIRED TO PAY INITIATION FEES OR DUES. THE SENIOR MEMBERSHIP DUES SHALL BE ONE-HALF OF THE ACTIVE MEMBERSHIP DUES AND THEY SHALL RETAIN ALL PRIVILEGES OF ACTIVE MEMBERSHIP. Members failing to pay their dues by the thirty-first (31) day of August shall be notified thereof by mail by the Secretary at the member's last known address, and, if still unpaid by the fifteenth day of September following, that person shall cease to be a member of the Club and notification shall be mailed to that person's last known address.

3. The term "annual dues" as used in the By-Laws shall mean dues from January first to December thirty-first. In case of members joining during the year, the dues to be paid shall be the full annual dues and shall entitle them to membership to December thirty-first of that year.

Article XIV - Amendments

These articles may be amended in whole or in part by a majority vote at any duly called meeting of the Club. The proposed amendments must be published in the Tee Time Tales prior to the meeting at which they will be voted upon.

Article XV - Functional Operations

1. Each Active, Senior, and Honorary Life Member of the Club shall be assessed eleven dollars ($11.00) per year for the Tee Time Tales and the Annual Club Roster.

Article XVI - Tournament Participation

1. No entry fee shall be charged for any Club tournament played at the Alameda Municipal Golf Courses (Chuck Corica Golf Complex) by members of the Club (excluding summer putting tournaments).

2. All entrants registering for any golf tournament held at the Alameda Municipal Golf Courses and sponsored by the Club will be held responsible for the greens fees and starting times for any such tournament.

(A) Any player who registers but then withdraws from any such tournament must convey withdrawal directory to the Team Captain at least forty-eight (48) hours prior to the date of each round.

(B) Any player who fails to comply with paragraph (A) must: 1. PAY AN ASSESSMENT OF A greens fee and starting time fee. Any such assessment must be paid to the Club within thirty (30) days of written notice mailed by the Secretary AND OR 2. Must appear before the Board of Directors, at a time and place so designated, to justify the failure to participate AND OR PAY THE ASSESSMENT.

(A) Notice of time and place of hearing before the Board of Directors shall be mailed to such person by certified mail, return receipt requested, by the Secretary.

(B) Upon evidence of receipt of such registered letter, any such person who fails to appear before a hearing of the Board of Directors shall be suspended from all Club activities until such as that person does appear before the Board of Directors, and failure to do so by the end of the calendar year shall result in expulsion from membership in the Club.

3. The Board of Directors shall have full power to assess penalties to such persons, after hearing, as defined in Section 1. Article XI of these By-Laws.

4. Penalty for failure to pay such assessment within thirty (30) days of the mailing of notice thereof shall result in the suspension of such violator from all Club activities until such payment is made, and such suspension shall terminate in expulsion from the Club if not paid in full by the end of the calendar year.

Article XVII - Association Membership

1. All Club members shall belong to the Northern California Golf Association. One hundred percent (100%) electronic handicap participation shall be mandatory. Associate Members, Honorary Life Members, and Senior Members are included at their own option. TO BE ELIGIBLE TO PARTICIPATE IN CLUB TOURNAMENTS, ACTIVE SENIOR AND HONORARY LIFE MEMBERS MUST BE LISTED WITH AN ESTABLISHED NCGA HANDICAP ON THE CURRENT CLUB HANDICAP SHEET. SAID REQUIREMENT DOES NOT APPLY TO SUMMER PUTTING TOURNAMENTS.

2. All tournaments conducted by the Club will be played at the current Northern California Golf Association Handicap. The Team Captain, who also serves as the Chairperson of the Handicap Committee, shall have authority to adjust a player's handicap when normal computation methods produce a handicap obviously not consnstent with the individual's ability. All handicapping and handicap adjustments shall be done in accordance with the current Northern California Golf Association Handicap Manual. Members wishing to appeal their handicap may, through written request to the Handicap Committee, present information or records for handicap relief due to extenuating circumstances. The decision of the Handicap Committee shall be final.

3. Electronic handicapping system fees, as stated by the Northern California Golf Association, will be paid by the member.

4. The Club will act as the collecting agency for the Northern California Golf Association.
